These Terms of Service ("Terms") constitute a legally binding agreement between you and BWAY FAN LLC ("BWAY FAN," the "Company," "we," "us," or "our"). By accessing or using the Broadway Fandom Fantasy League (BFFL) website, progressive web app, or iOS mobile application located at or made available through bfflbway.com and related app experiences (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and by any policies referenced herein, including our Privacy Policy and Data Deletion Policy. If you do not agree to these Terms, you must not access or use the Service.
The Service is currently a free-to-play, recognition-based Broadway awards prediction and engagement platform provided for entertainment purposes. Users may create accounts to submit predictions for nominees and winners across award categories, participate in leaderboards and social groups called Fan Circles, earn achievement badges and virtual tokens called "Spotlights," and track prediction performance over time across the website, progressive web app, and iOS mobile application.
No purchase, payment, donation, or other consideration is required to participate in the current awards cycle. The Service is intended as a free-to-play, recognition-based prediction and engagement experience and is not intended to constitute gambling. Unless expressly stated otherwise in separate official rules for a specific promotion published by the Company, the Service does not award cash prizes, cash-equivalent prizes, or tangible merchandise prizes. Spotlights have no monetary value, are not redeemable for cash or cash equivalents, and may be used only within the Service as permitted by the Company.
The Company may publish season-specific Official Rules for Participation and explanatory How to Play materials within the Service. In the event of any conflict between informal explanatory content and the Official Rules for Participation or these Terms, the Official Rules for Participation and these Terms will control.
The Company may later offer optional paid season access, subscriptions, premium features, or other digital goods or services. If we do, applicable pricing, billing terms, renewal terms (if any), and additional product-specific rules will be presented to you at or before purchase and will supplement these Terms. Unless expressly stated otherwise, paid digital items are licensed, not sold, and are non-refundable except as required by applicable law or the rules of the platform through which the purchase was made.
The Company may use Service activity and platform data to create aggregated and/or de-identified analytics, trend reporting, benchmark information, and similar business intelligence for internal use and for use with affiliated entities and approved business partners, provided such outputs are not reasonably intended to identify individual users.
The Company may also engage affiliated entities, including Broadway Index LLC, to support analytics, reporting, partner services, administration, or related business operations connected to the Service.
The Company reserves the right, in its sole discretion, to modify, suspend, or discontinue any aspect of the Service (including features, scoring methodologies, availability, and token economics) at any time, with or without notice.
You must be at least thirteen (13) years old (or the minimum age required by applicable law in your jurisdiction) to access or use the Service. By creating an account or otherwise using the Service, you represent and warrant that you meet all eligibility requirements and that your use of the Service will comply with these Terms and all applicable laws.
Certain features of the Service require you to create an account. You agree to provide accurate, current, and complete information during registration and to keep such information up to date.
Authentication Methods. The Company may offer account registration and sign-in using email and password and/or via supported third-party OAuth or delegated authentication providers, including Google, Facebook ("Facebook Login"), and Apple ("Sign in with Apple"). Availability of authentication methods may vary over time and by technical compatibility with your browser, device, operating system, or app version.
By choosing Facebook Login, you authorize the Company (through our authentication provider) to receive from Meta Platforms, Inc. ("Meta") your Facebook-associated email address and your public profile name. The Company does not request access to any other Facebook data.
By choosing Sign in with Apple, you authorize the Company (through our authentication provider) to receive from Apple your name (if made available), your Apple Account-associated email address, and/or an Apple private relay email address if you choose Apple's "Hide My Email" option. The Company does not request access to any other Apple account data.
If you use an anonymized or private relay email address through Sign in with Apple, you are responsible for maintaining access to that relay address or updating your account to another valid contact method so that you can continue to receive essential account and service communications.
Third-Party Provider Terms and Availability. Your use of any third-party authentication provider (including Google, Facebook Login, or Sign in with Apple) is subject to that provider's own terms, policies, and practices. The Company does not control and is not responsible for the acts or omissions of such providers, including outages, interruptions, or changes that may affect your ability to access the Service through a particular login method.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not authorized by you. You agree to notify us immediately at legal@bwayfan.com of any unauthorized use of your account or any other breach of security.
You may select a display username that may be visible on leaderboards and Fan Circle rosters. Usernames must not (a) impersonate any person or entity; (b) contain unlawful, obscene, or offensive language; (c) infringe intellectual property or other rights; or (d) otherwise be misleading as to identity or affiliation. The Company may, in its sole discretion, reclaim, modify, suspend, or terminate usernames or accounts that violate these Terms.
If you access the Service through our iOS mobile application obtained from the Apple App Store, you acknowledge that these Terms are concluded between you and the Company, and not with Apple. Apple is not responsible for the Service or its content, maintenance, support, or availability, except as expressly required by applicable law.
Your license to use the iOS app is limited to a personal, non-transferable license to use the app on Apple-branded products that you own or control and as permitted by the App Store usage rules and these Terms.
To the extent required by applicable law, Apple has no obligation to furnish any maintenance or support services for the iOS app. In the event of any failure of the iOS app to conform to an applicable warranty, if any, you may notify Apple, and Apple may refund the purchase price, if any, paid for the app to the maximum extent permitted by applicable law; to the maximum extent permitted by law, Apple will have no other warranty obligation with respect to the app.
You acknowledge that Apple is not responsible for addressing any claims by you or any third party relating to the iOS app or your possession or use of the iOS app, including product liability claims, claims that the app fails to conform to legal or regulatory requirements, and claims arising under consumer protection, privacy, or similar laws. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms as they relate to the iOS app and, upon your acceptance of these Terms, will have the right to enforce them against you as a third-party beneficiary.
If the Company later offers subscriptions or other paid digital purchases through the Apple App Store, additional App Store purchase, billing, renewal, cancellation, and refund terms may apply and will be disclosed in the app and/or at the point of purchase.
You agree that you will not, and will not attempt to, directly or indirectly:
The Company reserves the right to investigate violations of these Terms and to take any action it deems appropriate, including without limitation removing content, suspending or terminating accounts, resetting Spotlights balances, and reporting suspected unlawful activity to law enforcement.
Users may submit (a) nominee predictions (up to five (5) selections per category) and (b) winner predictions (one (1) selection per category, with an associated confidence level where applicable). Predictions may auto-save as you make them and may be revised until the applicable lock deadline.
For the 2026 Broadway awards cycle, nominee predictions open on April 27, 2026 and lock at 11:59 PM Eastern Time on Monday, May 4, 2026. Nominees are announced on the morning of Tuesday, May 5, 2026. Winner predictions for that cycle open at 12:00 PM Eastern Time on Tuesday, May 5, 2026 and lock at 11:59 PM Eastern Time on Saturday, June 6, 2026. The awards ceremony is scheduled for the evening of Sunday, June 7, 2026.
Deadlines and times are subject to change in the Company's reasonable discretion with notice provided through the Service. You are responsible for ensuring that your predictions are submitted and saved before the applicable lock deadline. The Company is not responsible for predictions not submitted or saved due to issues on your end (including device, browser, network, or email access issues).
Scores are calculated based on a published scoring methodology, which may include points for correct predictions, category multipliers, confidence bonuses, engagement bonuses, and tie-breakers. The methodology for each awards cycle will be published on the Service before the prediction period opens.
The Company may modify scoring methodologies between awards cycles. In the event of disputes regarding scoring or rankings, the Company's determination, made in good faith and in its reasonable discretion, will be final and binding.
For the avoidance of doubt, leaderboard placement, recognition, and in-Service status are the primary outcomes of participation unless a separate written promotion expressly states otherwise.
BFFL is a free, recognition-based prediction game operated by BWAY FAN LLC for entertainment purposes. No purchase, payment, donation, or other consideration is required to participate or to improve a participant's standing.
Unless expressly stated otherwise in separate written official rules published by BWAY FAN LLC for a specific promotion, BFFL does not award cash prizes, cash equivalents, or tangible merchandise prizes. Participation is primarily for leaderboard placement, recognition, community engagement, and in-Service status.
For each awards cycle, the applicable entry period, lock deadlines, scoring methodology, tie-breakers, eligibility requirements, and any season-specific participation rules may be published in the Service as Official Rules for Participation and/or How to Play materials, and are incorporated into these Terms by reference to the extent stated therein.
BWAY FAN LLC is the sole sponsor and operator of BFFL. Apple is not a sponsor of, and is not involved in, BFFL or any related contest, promotion, prediction activity, leaderboard activity, or other game-related activity in any manner.
Void where prohibited. Participation is subject to these Terms, any applicable Official Rules for Participation published in the Service, and all applicable laws.
Fan Circles are optional social groups where users may compete against friends and other fans. Users may create or join up to five (5) Fan Circles. Circle creators may share invite codes to allow others to join.
You acknowledge that Fan Circles may include content and communications submitted by users. The Company does not control and is not responsible for user conduct within Fan Circles. The Company may, in its sole discretion, disband Fan Circles, remove content, or restrict participation if it determines that a Fan Circle or user violates these Terms or applicable law.
Spotlights are virtual tokens earned through certain platform activities and spent on features within the Service. Spotlights are not currency, do not constitute stored value, and do not confer any property right.
Spotlights cannot be purchased with real money, exchanged for real-world currency, or transferred between accounts. The Company may modify earn rates, spend costs, caps, expiration, and availability of Spotlights-powered features at any time. Unused Spotlights may expire at the end of an awards cycle or upon account termination.
The Company may, in its sole discretion, suspend, revoke, or adjust Spotlights balances in connection with suspected fraud, abuse, or violations of these Terms.
As between you and the Company, the Service and all original content (excluding user-generated content), features, and functionality, including without limitation the BFFL name, logos, branding elements, scoring systems, and platform design, are and will remain the exclusive property of the Company and its licensors and are protected by applicable intellectual property laws.
Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use.
By submitting predictions, creating Fan Circles, or otherwise posting or transmitting content through the Service (collectively, "User Content"), you hereby grant the Company a non-exclusive, worldwide, royalty-free license (with the right to sublicense to service providers) to host, store, reproduce, display, distribute, and otherwise use such User Content solely in connection with operating, maintaining, improving, and promoting the Service, including displaying your username, predictions, scores, and achievements on leaderboards and shareable results.
You represent and warrant that you have all rights necessary to grant the foregoing license and that your User Content does not violate applicable law or infringe or misappropriate any third-party rights.
Award show names, nominee names, show titles, and other third-party marks referenced on the Service are the property of their respective owners. References are for informational, commentary, editorial, nominative fair use, and compatibility-identification purposes only, and no such reference implies sponsorship, endorsement, or affiliation. Without limiting the foregoing, BFFL and BWAY FAN LLC are not affiliated with, endorsed by, sponsored by, or officially connected to The American Theatre Wing, The Broadway League, the Tony Awards, or any related rights holder, and all rights in those names, marks, and associated intellectual property remain with their respective owners.
Your use of the Service is subject to our Privacy Policy and Data Deletion Policy, available at bfflbway.com/privacy and bfflbway.com/data-deletion (or any successor URLs we provide), which are incorporated by reference into these Terms. If we later offer paid season access, subscriptions, or other digital purchases, you should also review any purchase-specific terms, offer screens, or platform disclosures presented at the time of purchase.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
WITHOUT LIMITING THE FOREGOING, THE COMPANY DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF SCORES, LEADERBOARD RANKINGS, OR PREDICTION RESULTS, INCLUDING DUE TO TECHNICAL ERRORS, DATA AVAILABILITY, OR THIRD-PARTY INFORMATION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER OR RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR FIFTY DOLLARS ($50.00), WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your access to or use of the Service; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any third-party rights.
The Company may suspend or terminate your account and access to the Service at any time, in its sole discretion, for any reason or no reason, and with or without notice. The Company will have no liability to you for any such suspension or termination.
Upon termination, your right to use the Service will cease immediately. Sections that by their nature should survive will survive termination, including without limitation Sections 9 (Intellectual Property), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), and 16 (Governing Law and Venue).
You may request account deletion by contacting privacy@bwayfan.com and, where available, by using self-service deletion controls in your account settings or within the iOS app. See our Data Deletion Policy for additional information.
The Company may modify these Terms from time to time by posting updated Terms on the Service with a revised "Last Updated" date. Unless otherwise stated, the updated Terms will be effective upon posting.
Your continued access to or use of the Service after the effective date of any updated Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law rules, except to the extent mandatory consumer protection law in your jurisdiction requires otherwise.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be brought exclusively in (i) the state courts located in Passaic County, New Jersey, and (ii) the United States District Court for the District of New Jersey (Newark Vicinage) (for matters within federal jurisdiction), and you hereby consent to the personal jurisdiction and venue of such courts, except to the extent mandatory consumer protection law in your jurisdiction gives you a non-waivable right to bring a claim elsewhere.
Severability. If any provision of these Terms is held to be invalid or unenforceable, such provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
Waiver. No waiver of any term will be deemed a further or continuing waiver of such term or any other term, and the Company's failure to assert any right or provision under these Terms will not constitute a waiver of such right or provision.
Entire Agreement. These Terms (together with any policies incorporated by reference) constitute the entire agreement between you and the Company regarding the Service and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.
Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without the Company's prior written consent. The Company may assign these Terms without restriction.
Headings. Headings are for convenience only and do not affect interpretation.
